Happay card is a Visa branded corporate card issued by Ratnakar Bank Limited (RBL). Your usage of this card shall be deemed as your acceptance of the Terms and Conditions set out below and shall constitute a binding Agreement between you, VA Tech Ventures Private Limited and RBL Bank. The Bank and VA tech Ventures, reserve the right to change, update or modify these terms and conditions, at any time, without any prior intimation to you.
“Bank” or “RBL” shall mean Ratnakar Bank Limited, a scheduled commercial bank, having its registered office at Shahupuri, Kolhapur- 416001 and include its authorized service provider(s) or agent(s) engaged for this solution; “Card” or “Happay Card” means a corporate card issued by the Bank, co-branded with VA Tech Ventures Pvt. Ltd.; “Cardholder” or “You” means the individual to whom the Card has been issued; “Employer” or “Company” means the company in which the Cardholder is employed; “We” or “Us” shall mean and include RBL and VA Tech Ventures Pvt Ltd; “HAPPAY” shall mean the solution, owned and operated by VA Tech Ventures Private Limited, a private limited company, having its registered office at (03/1, MG Road, Kolkata) to (3rd Floor, Delta Block, Sigma Soft-Tech Park, No 7, Whitefield MainRoad, Ramagodanahalli,Varthur Hobli, Bangalore - 560066, Karnataka, INDIA).
The card remains the property of Bank and VA Tech Ventures Pvt Ltd under all circumstances. We reserve the right to issue the card or cancel/terminate the services at any time.
You can load money to the card at any time as per the guidelines prescribed by Us. The card is valid only for use in India, and all transactions shall be in INR only.
You may use the card at ATMs for cash withdrawals, all point of sale terminals (POS), and at all online payment gateways accepting VISA cards in India. Card cannot be used to redeem cash except through an ATM ( ATM Charges applicable). Applicable fees and charges are subject to change at the discretion of the Bank or VA Tech Ventures Pvt. Ltd.
The usage/ acceptance of the card may be limited by the card program selected by you/ your employer, as the case maybe. The Happay card is a corporate card and usable only to the extent of funds available on the card. The amount in the card is deposited in an ESCROW account with the Bank. No interest shall be payable by Us on the amount loaded on the Card.
If this Card is issued upon request by your Employer, the amount on the card may be completely controlled by the Employer. The Employer may load money, withdraw money, set limits and even block the Card without any prior notification. The Employer will have complete access to all transactions made on the card.
We are not liable for any misuse/ negligence of the card or the money loaded in the Company account linked to the card by the Cardholder or the administrator of your Company’s Happay account.
If you have not submitted KYC documents to Us, the monthly limit on the total value of transactions per card shall be Rs. 10,000/- (Rupees Ten Thousand Only). On submission of KYC documents the monthly limit may be increased upto Rs. 1,00,000/- (One Lakh Only). ATM withdrawal facility will not be available without submission of KYC documents.
You are responsible for all transactions made through the card. If you notice any discrepancy, you should notify our customer care center immediately.
If a Happay Card is lost or stolen, You must immediately report the loss/theft to Happay’s Customer Care Center. You must also switch it off through the linked mobile app/web login to avoid misuse. You are responsible for the security of the Card and shall take all steps towards ensuring its safekeeping and will not allow any other person to use it. You will be liable for all charges incurred on the Card until the Card is reported lost / stolen. The complete guidelines for such an event can be accessed by writing to us at help@happay.in
The Card is valid up to the last date of the month of expiry as indicated at “Valid Thru” section on the face of the Card. In case of expiry or total damage of the card, replacement card can be issued upon payment of applicable fees.

We have complete and irrevocable right to stop or restrict the use of the card if we notice suspicious, illegal or fraudulent activities associated with the card.
You shall provide us with true and correct information, records or certificates relating to any matters that We deem necessary. We reserve the right to share cardholder information with third parties whenever allowed by law, required by law, or for providing services in relation to the Card.
The liability of the Cardholder for disputed, unauthorized Visa transactions shall be limited to zero provided you notify our customer care center, in writing, immediately on noticing such transactions and you are not, in our opinion, guilty of negligence, fraud or collusion etc. provided, however, these transactions have been done within a period of ten (10) days prior to the date of such written notification to us.
In case of a charge back being made, the Card would be credited with the said charge back amount. In case the Card is expired, we shall issue a new replacement Card, and shall credit the said amount to the new Card. All disputes are subject to the exclusive jurisdiction of the Courts in Mumbai, India, and you/ your employer, as the case may be, shall be liable for all costs associated with the legal resolution of the dispute.
Refund/Cancellation for the transaction processed using Happay Cards/ Software
The cancellation / refund for goods and services transacted or paid by using the Happay Card/ Software is negotiated directly between the buyer and seller and processed by the seller directly. Happay is not associated with any cancellation / refunds in any case whatsoever.
You also agree to indemnify us from and against all actions, claims, demands, proceedings, losses, damages, personal injury, costs, charges and expenses whatsoever which you may incur as a consequence of providing the said facility to you or by reason of our acting in good faith and taking or refusing to take action on your instructions, and in particular arising directly or indirectly out of the negligence, mistake or misconduct; breach or non-compliance of the rules/ terms and conditions relating to the Card and/ or fraud or dishonesty relating to any transaction by You. You shall also indemnify us fully against any loss on account of misplacement by the courier or loss- in- transit of the Card.

You acknowledge and undertake that you are availing the services on the provided by Happay transacting at your own risk and are using your best and prudent judgment before entering into any transactions through the Happay Software/ Cards. You further acknowledge and undertake that you will use the Happay Services for business purposes only.Happay shall neither be liable nor responsible for any actions or inactions of sellers nor any breach of conditions, representations or warranties by the sellers or manufacturers of the products and hereby expressly disclaim and any all responsibility and liability in that regard. Happay shall not mediate or resolve any dispute or disagreement between you and the sellers or manufacturers of the products / providers of such services.
We further expressly disclaim any warranties or representations (express or implied) in respect of quality, suitability, accuracy, reliability, completeness, timeliness, performance, safety, merchantability, fitness for a particular purpose, or legality of the products or services transacted or paid for by using the Happay Card/ Software. At no time shall any right, title or interest in the products transacted or paid using the Happay Software/ Card vest with Happay nor shall Happay have any obligations or liabilities in respect of any transactions made using Happay Software/ Card.
The bank and VA Tech Ventures Pvt. Ltd. are not liable for any issues arising out of incorrect interpretation of these terms and conditions and the fee schedule, by the cardholder.
